Member Agreement
If accepted as a Member of Sailing Yacht Life (SYL), you understand and agree that:
2.1. This is a legally binding agreement between you and SYL Private Club, hereinafter referred to as SYL or Sailing Yacht Life.
2.2. SYL includes its affiliates, partners, agents, directors, officers, employees, contractors, maritime trainers, and assigns.
2.3. By submitting an application to become a Member of SYL, you represent and warrant that you have reviewed, fully understood, and accepted all the terms and conditions of this agreement.
2.4. By submitting an application to become a Member of SYL, you represent and warrant that you have reviewed, fully understood, and accepted all the content of the other guiding documents of Sailing Yacht Life. These include, but are not limited to, its Terms of Use, Privacy Policy, SYL Creed, Maritime Charter, and Policies and Procedures Guide.3.1. All SYL Members are human individuals, participating in SYL as such. You represent and warrant that as a Member of SYL, your participation will be for your personal maritime development, with potential benefits for the oceanic community.
3.2. You represent and warrant that if you are an employee, agent, or other representative of, or otherwise affiliated with, any media or organization, including without limitation any news or entertainment publication or broadcasting agency, you agree to immediately inform SYL in writing.
3.3. You represent and warrant that you will respect maritime traditions and the ethics of the sea in all your interactions with other Members and in your sailings.
3.4. You represent and warrant that you will not share SYL's materials, ideas, advanced sailing techniques, or intellectual property in any way.
3.5. SYL, through the Membership Application and Review Committee, reserves the right to reject any membership application for any reason, at its sole discretion. Approval is at the sole discretion of the Membership Application and Review Committee.4.1. All financial transactions with SYL will be in euros and will be billed by SYL. All payments made to SYL such as initiation fees, upgrade fees, or monthly dues are non-refundable.
4.2. Payment of fees to SYL does not entitle Members to any participation or interest in SYL's capital.
4.3. The information contained on the SYL site, as well as any other information provided directly or indirectly by SYL, is intended for your personal information and maritime education only. None of the information is intended to invite, induce, or encourage anyone to make any legal, medical, financial, sailing, or investment decision. You should consult a licensed professional in the appropriate field before acting on any information or recommendation made directly or indirectly by SYL.
4.4. The information you receive as a result of your membership in SYL will be treated as Confidential Information, whether or not labeled as such. You agree not to copy, exploit, sell, distribute, or otherwise disclose Confidential Information to anyone. The only exceptions are:
• to other SYL Members who are in good standing and have validated at least Level I of Marine Mastery
• if required by court or government order, provided you have given SYL reasonable written notice prior to disclosure, to allow SYL a reasonable opportunity to protect the Confidential Information.
4.5. You acknowledge that if you violate any confidentiality obligations, any of the representations made in this Agreement, including the Maritime Code of Conduct, SYL will suffer irreparable harm for which damages would be inadequate. You agree that in the event of such a violation, you will be referred to the SYL Member Policies Review Committee, where your membership in SYL will be considered for termination or other actions. Additionally, SYL will be entitled to extraordinary relief in any competent court, including but not limited to a temporary restraining order and preliminary and permanent injunctive relief to protect its rights, in addition to all remedies available at law.
4.6. You agree never to share your SYL Member account credentials with anyone for any reason. You agree never to allow anyone for any reason to log into your SYL account or impersonate you in any way.5.1. SYL offers a progressive 5-level training system. Levels I through IV constitute the mandatory basic training for any Member wishing to sail independently.
5.2. Each higher level requires the full validation of the previous level and the approval of the Maritime Skills Validation Committee.
5.3. Specific details of each level beyond the current level are confidential and will only be revealed to Members who have validated the previous level.
5.4. Validation of Levels I through IV is done through mentoring between qualified Members, including a supervised practical sailing period.6.1. While SYL intends to provide its Members with accurate and up-to-date information on sailing and maritime life, it makes no guarantees or representations as to the accuracy of the information and assumes no responsibility for any errors or omissions in the information.
6.2. SYL will provide information directly or indirectly to its Members in the manner, format, and times that SYL chooses, at its sole discretion. SYL makes no representations, warranties, or assurances related to the following:
• the amount of information that will be provided
• when or how often this information will be provided
• if or when Members' requests will be answered or by whom
• if or when Members will receive maritime mentoring or by whom
• if, when, or where webinars, crossings, or other seminars or workshops will be offered
6.3. SYL does not represent, warrant, or assure that due to your connection with SYL or the information, products, or services you receive directly or indirectly from SYL:
• you will sail safely in all conditions
• you will receive money, bonuses, profits, loans, credits, personal or real property, business offers, or anything else of monetary value
• you will minimize your tax liability, improve your health, or live a longer, healthier, or happier life
This information is not intended to replace professional maritime advice.7.1. To the fullest extent permitted by applicable law, neither SYL nor any other party involved in the creation, production, or delivery of its website or maritime training services will be liable for:
• loss of profits or any other incidental or consequential damages, regardless of the form of action, whether contractual, tort (including negligence), or otherwise, even if SYL has been advised of the possibility of such damages
• punitive or special damages
• damages directly caused by your failure or refusal to perform any obligation under this agreement or as required by law
• maritime accidents resulting from non-compliance with taught safety instructions8.1. You agree to indemnify, defend, and hold harmless, at your sole expense, SYL from any claim or action brought by a third party regarding (a) your use of the website and/or (b) your violation of the Membership Agreement and associated guiding documents of SYL and/or (c) any maritime incident resulting from your negligence or non-compliance with safety protocols.
9.1. Violations of any kind related to Member behavior or non-compliance with maritime safety protocols will be handled by the SYL Member Policies Review Committee. Such violations may result in the cancellation of your SYL membership.
9.2. You may cancel your membership at any time by visiting the account cancellation page located in the Member section of the SYL website.
9.3. If your membership is canceled for any reason, including by your choice, you agree to return the original and all copies of the Confidential Information to SYL within 10 business days following the cancellation.
9.4. MANDATORY ARBITRATION 9.4.1. You agree never to file lawsuits for any reason, at any time, in court, against SYL or any of its Members, Associates, staff, owners, agents, directors, officers, and assigns. All disputes will be handled by arbitration.
9.4.2. If you or SYL have a disagreement regarding any matter, both parties agree to try to resolve these disagreements fairly and reasonably. If the parties cannot resolve their disagreements, your sole remedy is to seek binding arbitration with a single arbitrator.
9.4.3. The arbitration will follow the format established in these terms, based on fairness and the spirit of maritime justice rather than the technical aspects of the law.10.1. All SYL materials, including but not limited to text, graphics, logos, audio clips, video clips, links, digital downloads, maritime training methods, and trademarks are owned, controlled, or licensed by SYL and are protected by copyright, trademark, and other intellectual property laws.
11.1. You agree to adhere to this Maritime Code of Conduct at all times.
11.2. SYL Members agree to:
• Respect maritime traditions and ethics
• Maintain the highest standards of safety at sea
• Assist other sailors in distress in accordance with maritime law
• Protect the marine environment
• Share safety knowledge with other Members
• Never compromise safety for personal gain
• Respect international maritime regulations
11.3. You agree never to:
• Solicit Members for business opportunities unrelated to SYL at events
• Misrepresent your maritime qualifications
• Sail beyond your validated level of competence
• Endanger other Members through negligence
• Disclose SYL's advanced sailing techniques to non-members12.1. To become a Member of SYL, an applicant must:
• Be at least 18 years old, or the legal minimum age in the applicant's jurisdiction
• Be legally capable of entering into legally binding agreements
• Complete the new Member application process
• Demonstrate a commitment to maritime safety and continuous learning
• Agree to follow the progressive Marine Mastery levels
